BizMotus Affiliate Program Agreement

By applying to or participating in the BizMotus Affiliate Program ("Program"), you agree to be bound by the terms and conditions set forth in this Agreement. If you do not agree, you must not apply for or participate in the Program.
1. Eligibility & Enrollment
To participate in this Program, you must be at least 18 years old (or the age of majority in your jurisdiction) and possess the legal authority to enter into this binding Agreement. If you are entering into this Agreement on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these terms.
BizMotus reserves the right, in its sole discretion, to accept or reject any application for enrollment in the Program for any reason.
2. The Relationship
You participate in this Program as an independent contractor. This Agreement does not create an employer-employee relationship, agency, partnership, joint venture, or franchise between you and BizMotus LLC ("BizMotus"). You have no authority to bind BizMotus, enter into agreements on our behalf, or make any representations or warranties in our name.
3. Promoting BizMotus
You agree to promote BizMotus honestly, professionally, and in compliance with all applicable laws and regulations, including Federal Trade Commission (FTC) guidelines regarding endorsements and testimonials.
When promoting your unique affiliate link, you must:
- Disclose your relationship: Clearly and conspicuously disclose that you earn a commission if your audience signs up through your link (e.g., using "Ad", "Affiliate Link", or a clear disclosure statement adjacent to the link).
You must NOT:

Make false, misleading, or exaggerated claims about BizMotus services.

Guarantee specific credit scores, funding amounts, or business outcomes.

Engage in spamming, unsolicited bulk emailing, or misleading advertising.

Bid on BizMotus trademarked terms (e.g., "BizMotus", "BizMotus LLC") in search engine or paid advertising campaigns.

Represent yourself, your website, or your social media channels as being officially owned, operated, or endorsed by BizMotus.
4. Intellectual Property & License
Subject to your compliance with this Agreement, BizMotus grants you a limited, non-exclusive, non-transferable, revocable license to use and display BizMotus trademarks, logos, banners, and promotional copy provided to you via the affiliate dashboard solely for the purpose of promoting the Program.
You may not modify, distort, or alter any BizMotus intellectual property without our prior written consent. All goodwill generated by your use of our trademarks inures solely to the benefit of BizMotus.
Conversely, you grant BizMotus a non-exclusive, worldwide, royalty-free, perpetual license to showcase, feature, or reference your promotional materials, reviews, and testimonials of BizMotus for our own marketing purposes.
5. Commissions & Vesting
You earn a commission for each qualifying business that signs up through your unique referral link and becomes a paying member of BizMotus.

Commission Structure: Commission rates, tiers, and qualifying criteria are detailed in your affiliate dashboard.

Vesting Period: A commission only vests and becomes payable after the referred business completes the required active membership period and successfully processes all related payments. Referrals that cancel, dispute payments, or receive refunds before the end of this vesting period do not earn a commission.
6. Self-Referrals, Fraud, & Audit Rights
Self-referrals are strictly prohibited. You may not use your own affiliate link to sign up yourself, your own businesses, or any entity in which you have an ownership interest.
BizMotus reserves the right to investigate affiliate traffic and audit your marketing methods. If we determine in good faith that you have engaged in fraudulent activity—including cookie-stuffing, incentivized fake signups, or violating any terms of this Agreement—we may withhold or reverse your commissions, and suspend or permanently terminate your Program account.
7. Data Privacy & Compliance
Because you will be directing traffic and potential customers to our platform, you agree to comply with all applicable global data protection laws, including but not limited to the General Data Protection Regulation (GDPR) and the California Consumer Privacy Act (CCPA).
You must:

Maintain a prominent, legally compliant privacy policy on any website or digital channel where you promote your affiliate link.

Obtain necessary consents from your users regarding the use of tracking cookies and affiliate tracking technologies where required by law.

Never collect, store, or transmit personally identifiable information (PII) of referred users to third parties without authorization.
8. Confidentiality
During your participation in the Program, you may receive access to non-public information, including proprietary platform data, custom commission structures, product roadmaps, or business strategies ("Confidential Information"). You agree to keep all such information strictly confidential and to use it solely for the performance of your obligations under this Agreement. You may not disclose Confidential Information to any third party without our express, prior written consent.
9. Payouts & Taxes
Vested commissions are paid in USD via bank transfer or our designated payment processor.

Minimum Threshold: Payouts will be issued on our regular schedule (as shown in your dashboard) once your vested balance reaches the minimum payout threshold.

Accuracy: You are solely responsible for providing and maintaining accurate payment and tax information (such as an IRS Form W-9 or W-8BEN) in your affiliate portal.

Taxes: You are responsible for all taxes, duties, and assessments associated with any earnings under this Program.
10. Term and Termination
Either party may terminate this Agreement at any time, with or without cause, by providing written notice to the other party (email is sufficient).

Upon Termination: Your right to use your affiliate link and any BizMotus promotional materials immediately ceases.

Final Payment: Any vested, unpaid commissions that have met the minimum payout threshold prior to termination will be paid out on the next scheduled payment cycle. Unvested referrals and any balances below the threshold at the time of termination are forfeited.

Survival: Sections 2, 4, 6, 8, 10, 11, and 12 survive the termination of this Agreement.
11. Limitation of Liability & Indemnification

"As Is" Basis: The Program and our services are provided on an "as is" and "as available" basis. BizMotus does not guarantee any minimum affiliate earnings, continuous link availability, or uninterrupted program access. We reserve the right to modify commission rates, tiers, or the Program itself at any time upon notice.

Limitation of Liability: To the maximum extent permitted by law, BizMotus will not be liable for any indirect, incidental, special, or consequential damages arising under this Agreement. Our total aggregate liability will not exceed the total commissions paid to you under this Agreement in the twelve (12) months preceding the event giving rise to the claim.

Indemnification: You agree to indemnify, defend, and hold harmless BizMotus LLC and its affiliates, officers, and employees from any claims, damages, liabilities, or expenses (including legal fees) arising out of your breach of this Agreement, your promotional activities, or your violation of any third-party rights or applicable laws.
12. Governing Law, Dispute Resolution & Equitable Relief

Governing Law: This Agreement is governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law principles. Any legal action, suit, or proceeding arising out of or relating to this Agreement must be brought exclusively in the state or federal courts located in Lake County, Florida.

Equitable Relief: You acknowledge that any breach of Section 4 (Intellectual Property) or Section 8 (Confidentiality) may cause BizMotus irreparable harm for which monetary damages alone would be inadequate. Therefore, BizMotus reserves the right to seek immediate injunctive or other equitable relief in any court of competent jurisdiction to prevent or halt such breaches, without the necessity of posting a bond or proving actual damages.
13. Changes to These Terms
We may update these terms from time to time. We will notify you of any material changes by posting the updated terms on our website or sending an email notification. Your continued participation in the Program after such changes take effect constitutes your acceptance of the revised terms.
